Official Rules of the Juliana Bicycles Give Back Giveaway Contest

These are the Official Rules of the Juliana Bicycles Give Back Giveaway Contest (the “Contest”) facilitated by Juliana Bicycles, a division of Santa Cruz Bicycles, Inc. (“Juliana”). Details regarding entry and participation, winning selection, and prizes are contained in these Official Rules.

Timing: The Contest begins at 12:00 p.m. PDT on Sept 19, 2023 and ends at 12:00 p.m. PDT on Oct 17, 2023 (the “Contest Dates”).

Eligibility: Except where prohibited by law, the Contest is open to all natural persons who are 18 years of age or older (19 or older in Nebraska and Alabama) and legal residents of the United States at the time of entry. Employees of Juliana Bicycles or its affiliates, subsidiaries, advertising or promotion agencies are not eligible, nor are members of these employees’ families (defined as parents, children, siblings, spouse, and life partners). There is no limit on how many photos you may enter in the Contest.  Each person who enters is referred to as an “Entrant”.

To Enter: 

Here’s How It Works: 

1. Take a photo of YOUR champion of mountain biking 
2. Upload your photo to Instagram, tag your champion, tag and follow @julianabicycles, AND tag #JulianaGiveBack. Photos must be posted to Instagram during the Contest Dates.
3. At 10am PDT on Oct. 18th, the Juliana Business Development Manager will choose one winner (the “Winner”)
4. The Winner scores two aquamarine Furtado GX AXS bikes, an all expenses paid mountain bike trip for two to Santa Cruz, CA, automatic approval into our Ambassador Program, and OneUp grips and pedals of choice. 

Please do not post any offensive, obscene, derogatory or defamatory photos.  We reserve the right to disqualify anyone posting such photos.

Prize: 

Approximate retail value of the Prize is $22,000.00.  The Winner will be responsible for paying all local, state and federal income and other taxes associated with the Prize.  

Determination of Winner:  A single Winner will be chosen by our Juliana Business Developement Manager.  

Notification: The selected potential Winner will be notified through Instagram. At the sole discretion of Juliana, disqualification, forfeiture and the selection of an alternate Winner may result from any of the following: (1) potential Winner’s failure to respond to mention within two (2) business days after its transmission; (2) the return of the Prize as undeliverable; (3) potential Winner’s failure to provide Juliana with satisfactory proof of age and identity; (4) potential Winner’s failure to execute and return an Affidavit of Eligibility/Release of Liability within five (5) business days of notification; and (5) the potential Winner’s failure to accept the Prize.  Upon disqualification of the potential Winner, an alternate Winner may be selected. Upon contacting the potential Winner and determining that the Winner has met all eligibility requirements of the Contest, including without limitation the execution of required documents, such individual will be declared the “Winner” of the Contest.

Except where otherwise expressly noted in these Official Rules, the selection of all prizes and products is subject to Juliana’s sole and absolute discretion. The Prize (and/or any portion thereof) is nontransferable and non-exchangeable. No refunds, substitutions or cash redemption of the Prize is permitted except that Juliana retains the right to substitute a prize of equal or greater retail value (or at Juliana’s election, the approximate retail cash value of the applicable Prize, as determined by Juliana). Additional restrictions may apply.

All federal, state, provincial and local taxes related to the Prize are the sole responsibility of the Winner. All other expenses and costs, not expressly listed above, including but not limited to any taxes, customs charges, and any other expense or cost, not expressly included above are the Winner’s sole responsibility. 

Use of Data: Juliana may ask for personal data about Entrants (including, without limitation, name, phone number, mailing address and e-mail address) when they enter the Contest online. Juliana is entitled to use such personal data contained in all entry forms in accordance with Juliana’s Privacy Policy at www.julianabicycles.com, in particular, to contact the potential Winner regarding the Prize and for future marketing announcements to Entrants from Juliana via e-mail. By participating in the Contest, Entrants hereby agree to all personal information uses and disclaimers as explained in Juliana’s Privacy Policy. 

Permission:  The photographs, and all other images submitted are called the “Content”.

For and in consideration of entering the Contest, each Entrant gives Juliana the right and permission to use, reuse, publish, republish, edit, and otherwise make use of the Content and any derivative works thereof, for any purpose whatever; including the use of any print, web-based, broadcast or other media in conjunction therewith.

By posting a photograph on Instagram, each Entrant: (i) represents and warrants that he/she owns or has the necessary licenses, rights, consents, and permissions to publish the Content, and licenses to Juliana all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication; (ii) grants to Juliana a worldwide, non-exclusive, royalty-free, sub-licenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in any media formats and through any media channels; and (iii) represents and warrants that the Content does not contain third party copyrighted material, or material that is subject to other third party proprietary rights, or that the Entrant has permission from the rightful owner of the Content or is otherwise legally entitled to use the Content and to grant Juliana all of the license rights granted herein.

Consent and Release: Entry and acceptance of the Prize constitutes permission for Juliana and its affiliates to announce the Winner’s name for promotional purposes without further compensation.  By submission of an Entry and/or accepting all or a portion of the Prize, each Entrant consents to such usage. By participating, each Entrant agrees to these Official Rules and to release, defend, indemnify and hold harmless Juliana and Instagram and each such party’s respective parents, subsidiaries, affiliates, owners, directors, officers, employees and agents from any and all liability for any injuries, loss or damage of any kind, including death, arising from or in connection with the Entrant’s creation of any Entry, submission, or receipt or use and/or misuse of the Prize, or Juliana’s use of the Entrant’s submission, name, likeness, or city and state of residence in any media for any commercial purpose whatsoever.  Each Entrant assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use or misuse of the Prize. By participating, each Entrant agrees that any dispute related to this Contest shall be submitted exclusively to binding arbitration pursuant to the procedures of the American Arbitration Association.  Any dispute resolution event requiring the physical presence of the parties shall occur in Santa Clara County, California and each Entrant waives any and all objections to jurisdiction and venue therein.  By participating in this Contest, each Entrant understands and agrees to abide to these Official Rules and the decisions of Juliana with respect to all aspects of the Contest, which are final and binding.

General: This Contest is governed by the laws of the State of California, and subject to all applicable international, federal, state and local laws and regulations, and is void where prohibited.  Juliana reserves the right at its sole discretion to cancel or modify the Contest or these Official Rules if Juliana determines that the Official Rules or the Contest are impractical, fraudulent, void, unlawful, or if there are any technical or administrative malfunctions, errors, or other problems that affect the structure, terms or lawful administration of the Contest or for any other reason.

Online entries are deemed made by the authorized account holder of the Instagram account submitted at the time of entry. The “authorized account holder” is deemed the natural person who is assigned to an Instagram account. A potential Winner may be requested to provide Juliana with proof that the potential Winner is the authorized account holder.  The Prize will only be awarded to the authorized account holder.

Instagram is not liable for any content posted by Juliana or Entrants.  This promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram. Entrants understand that they are providing information to Juliana and not to Instagram. The information Entrants provide will only be used as described in these Official Rules. By entering, Entrants grant to Juliana a free, perpetual, non-exclusive license to use their name, city and state of residence, photographs, submissions and/or prize information for advertising, publicity and promotional purposes in all media without further notice. By entering, each Entrant acknowledges that Juliana has the right at all times to disclose information as necessary to satisfy any law, regulation or valid governmental request.

If, in the Juliana’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering or electronic vote acquisition with or during any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, Juliana reserves the right in its sole discretion to void any entries at issue (including disqualifying any individual who tampers or otherwise interferes with the entry process).  In the event of such cancellation, Juliana reserves the right to award the Prize in a random drawing from all eligible entries received before the time of cancellation.  Juliana in no way promotes illegal acts, and any and all entries that include or promote illegal acts shall be subject to disqualification.

Juliana assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction of unauthorized access to, or alternation of, entries. Juliana is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry received by Juliana on account of technical problems or traffic congestion on the Internet or at any web site, including www.julianabicycles.com or any affiliated site thereof, or otherwise, including any injury or damage to Entrant’s or any other person’s computer related to or resulting from participation or downloading any materials in the Contest.

Should any provision of the Official Rules be or become invalid under the laws of a particular jurisdiction or country, such invalidity shall not affect the validity of the remaining provisions or valid operation in other jurisdictions or countries.

Winners List: Contest results and copies of these Official Rules may be obtained by sending a self-addressed, stamped envelope to: Official Rules, Give Back Giveaway Contest, 2841 Mission Street, Santa Cruz, CA 95060.  Vermont residents may omit return postage.
